1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User" or "you") and Filicoola, Inc. ("Filicoola," "we," "us," or "our"), a corporation organized under the laws of the Republic of the Philippines. By accessing or using the Filicoola streaming service ("Service"), you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

2. Description of Service

Filicoola is a subscription-based video streaming platform that provides access to a library of television shows, movies, documentaries, and other video content ("Content"). The Service is available through various internet-connected devices and platforms. Content availability may vary by geographic location and is subject to change without notice.

3. Eligibility and Registration

3.1 Age Requirements

You must be at least 18 years old to create an account. Users between 13 and 17 years old may use the Service only with parental or legal guardian consent and supervision.

3.2 Account Registration

To access the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3 Geographic Restrictions

While Filicoola distributes content worldwide, certain Content may be restricted in specific territories due to licensing agreements. You may only access the Service from locations where it is legally available.

4. Subscription, Payment, and Billing Models

4.1 Service Plans

Filicoola offers multiple access models to suit different viewing preferences:

• Subscription Plans: Monthly or annual recurring subscriptions providing unlimited access to designated Content libraries
• Pay-Per-View: Individual purchases or rentals of premium Content not included in subscription plans
• Hybrid Plans: Combination packages that include both subscription access and pay-per-view credits

4.2 Subscription Services

For subscription plans:

• Subscription fees are billed in advance on a monthly or annual basis
• Payment is due immediately upon subscription activation
• Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date
• You may cancel your subscription at any time through your account settings
• Upon cancellation, you retain access to subscription Content until the end of your current billing period

4.3 Pay-Per-View Services

For pay-per-view Content:

• Rental: Temporary access to Content for a specified viewing period (typically 24-48 hours from first play)
• Purchase: Permanent access to Content within your account for as long as the Service operates
• Payment is charged immediately upon transaction completion
• Rental periods begin when you first start watching the Content, not when you complete the purchase
• You may not share, transfer, or resell pay-per-view Content access

4.4 Payment Terms

• We accept major credit cards, debit cards, digital wallets, and other payment methods as displayed during registration
• All subscription fees are billed in advance; pay-per-view charges are processed immediately
• You authorize us to charge your selected payment method for all applicable fees
• If payment fails, we may suspend or terminate your access to paid Content
• All fees are stated in the applicable local currency and are non-refundable except as expressly stated in these Terms or required by law

4.5 Refunds and Cancellations

• Subscription refunds: Generally non-refundable, but you may cancel to prevent future charges
• Pay-per-view refunds: Available only for technical issues preventing Content access, requested within 24 hours of purchase
• Accidental purchases: May be refunded if reported within 2 hours of purchase and no viewing has occurred
• Refund requests must be submitted through your account settings or customer support

4.6 Price Changes and Promotional Offers

• We reserve the right to modify subscription prices with at least 30 days' advance notice
• Pay-per-view pricing may change without prior notice
• Promotional offers are subject to specific terms and conditions
• Continued use of the Service after price changes constitutes acceptance of the new pricing

4.7 Taxes and Additional Fees

• All prices are exclusive of applicable taxes, duties, and fees
• You are responsible for all taxes associated with your use of the Service
• Additional fees may apply for premium features or services as disclosed at the time of purchase

5. Use of the Service

5.1 License Grant

Subject to these Terms, Filicoola grants you a limited, non-exclusive, non-transferable license to access and view Content solely for personal, non-commercial use.

5.2 Permitted Use

You may:

• Stream Content on compatible devices
• Download select Content for offline viewing where available
• Create user profiles within your account (subject to plan limitations)

5.3 Prohibited Use

You may not:

• Share your account credentials with others
• Use the Service for commercial purposes
• Copy, reproduce, distribute, or publicly display Content
• Circumvent or disable security features or digital rights management
• Use automated systems to access the Service
• Interfere with or disrupt the Service
• Violate any applicable laws or regulations

6. Content and Intellectual Property

6.1 Content Ownership

All Content available through the Service is owned by Filicoola or its licensors and is protected by intellectual property laws. No ownership rights are transferred to you.

6.2 User-Generated Content

If you submit content to the Service (such as reviews or comments), you grant Filicoola a worldwide, royalty-free license to use, reproduce, and distribute such content in connection with the Service.

6.3 Third-Party Content

Some Content may be provided by third parties. Filicoola does not control or endorse third-party Content and is not responsible for its accuracy or quality.

7. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which complies with applicable data protection laws including the Data Privacy Act of 2012 (Republic Act No. 10173) of the Philippines and international standards.

8. Account Termination

8.1 Termination by User

You may terminate your account at any time by following the cancellation process in your account settings. Upon cancellation, your access to the Service will end at the conclusion of your current billing period.

8.2 Termination by Filicoola

We may suspend or terminate your account immediately if you violate these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately.

9. Disclaimers and Limitations

9.1 Service Availability

The Service is provided "as is" and "as available." We do not guarantee uninterrupted or error-free service and may modify or discontinue the Service at any time.

9.2 Content Disclaimer

We do not endorse or guarantee the accuracy, quality, or appropriateness of Content. You use the Service at your own risk.

9.3 Limitation of Liability

To the maximum extent permitted by law, Filicoola shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data.

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms are governed by the laws of the Republic of the Philippines without regard to conflict of law principles.

10.2 Dispute Resolution

Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the Philippine Dispute Resolution Center, Inc., conducted in Metro Manila, Philippines.

10.3 Exceptions

Either party may seek injunctive relief in courts of competent jurisdiction for violations of intellectual property rights or confidentiality obligations.

11. General Provisions

11.1 Modifications

We may modify these Terms at any time by posting updated Terms on our website. Continued use of the Service after modifications constitutes acceptance of the updated Terms.

11.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

11.3 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Filicoola regarding the Service.

11.4 Assignment

You may not assign your rights under these Terms. We may assign our rights and obligations without restriction.

11.5 Waiver

No waiver of any provision of these Terms shall be deemed a waiver of any other provision or subsequent breach.
